Welcome to Gaia Dynamics! These Terms of Use (”Terms”) govern your access to and use of Gaia Dynamics, a trade technology platform that provides tools for trade compliance, classification, tariff discovery, and related services.
By using the Service, you agree to be bound by these Terms. If you do not agree, you may not access or use the Service.
1. Definitions
• “Service” means the Gaia Dynamics application, including all software, APIs, features, and content provided.
• “User”, “you”, or “your” means any individual or entity using the Service.
• “Gaia Dynamics”, “we”, or “us” means Gaia Dynamics Inc., a Delaware corporation.
2. Eligibility and Account Registration
• You must be at least 18 years old to use the Service.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
• Trial Use: Each user or organization is entitled to a single free trial unless explicitly authorized otherwise. Creating multiple accounts to obtain additional trials is prohibited and may result in immediate suspension or termination. 3. Permitted and Prohibited Use
• You may use the Service solely for lawful business purposes related to trade compliance and logistics.
• You agree not to:
• Misuse the Service for any unlawful, harmful, or fraudulent activity;
• Copy, modify, or reverse-engineer any part of the Service;
• Circumvent any usage limitations, including free trial boundaries. • Customer shall not, and shall not permit any third party to:
• Use the Services to generate, prepare, or populate data for direct submission to CBP or any other customs authority;
• Rely on outputs from the Services as the sole basis for customs filings without independent review and validation by the importer of record or a licensed customs broker;
• Use the Services to automate the preparation or transmission of customs entries, filings, or related documentation;
• Represent or imply that Gaia Dynamics is performing customs business or acting as a customs broker on Customer’s behalf.
4. No Customs Business; Permitted Use
• The Services are provided solely as a decision-support and analytics platform to assist Customers in understanding and managing trade-related data.
• Gaia Dynamics does not act as a licensed customs broker, attorney, or agent, and does not perform “customs business” as defined under 19 U.S.C. § 1641.
• Without limiting the foregoing, Gaia Dynamics does not prepare, determine, validate, or supply information for direct use in customs filings, including entry summaries, classifications, valuations, or other data elements submitted to U.S. Customs and Border Protection (“CBP”) or any other customs authority. • No use of the Services creates any agency, partnership, or representative relationship between Gaia Dynamics and Customer in connection with customs matters.
5. Customer Responsibility and Review
• Customer acknowledges and agrees that it retains full responsibility for compliance with all applicable customs laws and regulations, including the exercise of “reasonable care” in connection with all import and export activities.
• All outputs, recommendations, classifications, or analyses generated by the Services must be independently reviewed and validated by qualified personnel, including, where applicable, a licensed customs broker, prior to use in any customs filing or regulatory submission.
6. Intellectual Property
• Gaia Dynamics owns all intellectual property rights in and to the Service, including all software, content, logos, and trademarks.
• We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.
• You may not sublicense, reproduce, distribute, or modify the Service except as expressly permitted.
7. Data Use and Privacy
• By using the Service, you may submit trade, classification, and compliance data. You retain ownership of your data.
• You grant Gaia Dynamics a license to use submitted data for the sole purpose of operating, maintaining, and improving the Service.

8. Third-Party Integrations
• You may enable integrations with third-party services. By doing so, you authorize us to access and use relevant data from those platforms as necessary to provide the Service. 9. Fees and Payment
• Fees will be disclosed during sign-up or service configuration. You are responsible for all applicable fees and timely payment.
• Unless otherwise specified, all fees are non-refundable.
• Gaia Dynamics may suspend your access if fees are not paid on time.
10. Beta Features
• We may offer early access to beta or experimental features. These are provided as-is and may be changed or discontinued at any time without notice.
11. Termination and Suspension
• We may suspend or terminate your access to the Service at any time for violation of these Terms or misuse of the platform.
• Upon termination, all rights and licenses granted to you will cease immediately. Your data may be retained for legal or audit purposes, subject to our Privacy Policy.
12. Disclaimers and Limitation of Liability
• The Service is provided “as is” and “as available” without warranties of any kind.
• Gaia Dynamics is not liable for indirect, incidental, special, or consequential damages, including loss of business or data.
• We do not guarantee uninterrupted availability or error-free operation of the Service.
13. Governing Law and Dispute Resolution
• These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
• All disputes will be resolved through binding arbitration in San Francisco, California, unless otherwise required by law.
14. Force Majeure
• We are not responsible for failure or delay in performance due to events outside our control, including natural disasters, war, strikes, or network outages.
15. Amendments
• We may modify these Terms from time to time. Material changes will be notified via the Service or email.
• Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
